By accessing or using xnew.in (the "Platform"), the XNew Partner mobile application (the "App"), or any related services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Platform Role — Mediator & Communicator Only

xnew.in is a digital platform that connects consumers with local vendors, artisans, service providers, and merchants (collectively, "Vendors" or "XNew Partners"). We act solely as a mediator and communication facilitator to enable discovery and contact between buyers and sellers.

We do not:

• Participate in, control, or endorse any transaction, agreement, or contract between buyers and Vendors.
• Process payments, handle refunds, or manage financial exchanges.
• Guarantee the quality, safety, legality, or authenticity of any products or services listed by Vendors.
• Act as an agent, partner, or joint venture partner of any Vendor.

2. Vendor Verification & User Responsibility

A. Vendor Verification Status

Vendors on xnew.in may be verified or unverified. A "verified" badge indicates that the Vendor has provided certain documentation to us, but it does not constitute:

• An endorsement or guarantee of the Vendor's products, services, or business practices.
• A warranty that the Vendor is reliable, trustworthy, or compliant with applicable laws.
• Any assurance regarding product quality, pricing accuracy, or delivery commitments.

B. User Due Diligence

You acknowledge and agree that:

• You are solely responsible for conducting your own due diligence before engaging with any Vendor.
• You must independently verify Vendor credentials, product quality, pricing, availability, and service standards.
• All interactions, communications, and transactions are at your own risk.
• xnew.in does not screen, approve, or guarantee the accuracy of Vendor-provided information including but not limited to product descriptions, images, pricing, and business claims.

3. Goods, Services & Transactions — Buyer & Seller Responsibility

All transactions arising from connections made through xnew.in are strictly between the buyer and the Vendor (seller).

• Product Quality & Accuracy: Vendors are solely responsible for the correctness, safety, and validity of their listed products, services, pricing, images, and descriptions. Buyers must verify these directly with the Vendor.
• Pricing & Payments: All pricing, payment terms, refunds, cancellations, and exchange policies are determined and handled exclusively between the buyer and the Vendor. xnew.in does not process or facilitate any payments.
• Delivery & Fulfillment: Shipping, delivery timelines, and order fulfillment are the sole responsibility of the Vendor. xnew.in is not liable for delayed, lost, or damaged shipments.
• Disputes: Any disputes, claims, or issues regarding products, services, payments, or Vendor conduct must be resolved directly between the buyer and the Vendor. xnew.in is under no obligation to mediate or resolve such disputes.

4. Usage License

xnew.in grants you a limited, non-exclusive, revocable license to access and use the Platform for personal, non-commercial discovery and communication purposes. You agree not to:

• Scrape, copy, or reproduce Vendor data for unauthorized purposes.
• Use the Platform for any illegal, fraudulent, or abusive activity.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with the security or functionality of the Platform.

5. Vendor Obligations

By registering as an XNew Partner (Vendor), you agree to:

• Provide accurate, current, and complete information about your business and offerings.
• Maintain the confidentiality of your account credentials.
• Respond to consumer inquiries in a timely and professional manner.
• Comply with all applicable laws, regulations, and tax obligations.
• Not mislead consumers about product quality, pricing, or availability.
• Indemnify xnew.in against any claims arising from your listings, products, or services.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, XNEW.IN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY VENDOR LISTINGS OR INFORMATION.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XNEW.IN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Any loss, damage, or injury resulting from interactions, transactions, or disputes with Vendors.
• Any errors, omissions, or inaccuracies in Vendor-provided content.
• Any unauthorized access to or alteration of your data.

YOUR SOLE REMEDY AGAINST XNEW.IN IS TO DISCONTINUE USING THE PLATFORM. IN NO EVENT SHALL XNEW.IN'S TOTAL LIABILITY EXCEED ₹100 (OR THE EQUIVALENT IN YOUR LOCAL CURRENCY).

8. Indemnification

You agree to indemnify, defend, and hold harmless xnew.in, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Platform.
• Your interactions, communications, or transactions with Vendors or other users.
• Your violation of these Terms or any applicable law.
• Your infringement of any third-party rights.

9. Platform Modifications & Termination

xnew.in reserves the right to modify, suspend, or terminate any aspect of the Platform, Vendor listings, or services at any time, with or without notice, for any reason including but not limited to:

• Violation of these Terms by a user or Vendor.
• Technical or security issues.
• Changes in legal or regulatory requirements.
• Business decisions regarding the Platform's operation.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms or your use of the Platform (but not disputes between users and Vendors) shall be resolved through:

• Negotiation: The parties shall first attempt to resolve the dispute informally by contacting support@xnew.in.
• Arbitration: If the dispute cannot be resolved within 30 days, it shall be referred to a sole arbitrator appointed by mutual agreement, and the arbitration shall be conducted in [Your City], India, in accordance with the Arbitration and Conciliation Act, 1996.
• Jurisdiction: Subject to arbitration, the courts in [Your City], India shall have exclusive jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
